Automatic Data Processing, Inc. (NYSE: ADP) is the largest payroll and tax filing processors in the world, serving more than 600,000 clients. Although more than 60% of sales come from employer services, ADP also provides securities transaction processing to brokerage firms, and inventory and other computing and data services to more than 17,000 auto and truck dealers. Other offerings include accounting, employment background checks, desktop applications support, and business development training services.
ADP is composed of three business units: ADP Employer Services, ADP Brokerage Services Group and ADP Dealer Services. ADP is one of the eight companies (as of 2005) that are still rated by Moody's as AAA.
Prior to 2006, ADP had a fourth business unit, ADP Claims Services, which provided auto collision repair estimates for insurers. The division (Audatex) was sold to Solera in the early part of 2006.
In August 2006 ADP announced "ADP's Board of Directors has approved a plan to spin-off the Brokerage Services Group business, comprised of Brokerage Services and Securities Clearing and Outsourcing Services, into an independent publicly traded company through a tax-free spin-off of 100% of Brokerage Services Group to ADP shareholders. In conjunction with the spin-off, the new Brokerage Services Group entity is expected to distribute approximately $500 - $700 million to ADP in the form of a tax-free dividend. The spin-off is subject to required regulatory approvals and reviews. ADP expects to complete the spin-off before the end of fiscal 2007."
In January 2007 ADP announced that the post-spinoff name of the Brokerage Services Group would be Broadridge.
Frank Lautenberg was the company's first salesman. Later in 1975 he became ADP's second CEO.
The current CEO is Gary Butler.
